These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "your") and FastScribeX ("Company," "we," "our," or "us") governing your access to and use of our website, applications, APIs, audio and video transcription, AI summary, AI chat, speaker identification, search, export, sharing, storage, and related services (collectively, the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not access or use the Service.
You represent that you are at least 18 years old and have authority to enter into these Terms. If you use the Service for an organization, you represent that you can bind that organization to these Terms.

We may modify, suspend, limit, or discontinue any part of the Service at any time. We may also impose technical, safety, or usage limits to protect users, vendors, infrastructure, or compliance obligations.

We may suspend or terminate accounts that violate these Terms, create legal or security risk, abuse the Service, or remain inactive for an extended period.
Paid plans include the features, quotas, and limits described at the time of purchase. Fees are billed in advance on the selected billing cycle. You authorize us and our payment processor to charge your selected payment method for applicable fees, taxes, renewals, and approved add-ons.
Plans may include limits on transcription hours, AI summary credits, AI chat messages, storage, file size, processing speed, sharing, or other features. Unused quota does not roll over unless expressly stated. Exceeding limits may result in throttling, additional charges, or feature restrictions.
You may cancel a subscription through account settings or by contacting support. Cancellation stops future renewal but does not automatically refund past fees.
We provide a free trial so you can evaluate the Service before subscribing. Paid subscription fees are generally non-refundable once service usage begins. A refund may be requested only within 24 hours of the payment time and only if your account has not used any service, created transcription jobs, generated AI summaries, used AI chat, or consumed any paid plan quota.
Refunds are governed by our Refund Policy and may be refused for ineligible requests, service usage, quota consumption, abuse, prohibited content, chargeback misuse, account sharing, or violation of these Terms, except where required by applicable law.
Features described as "unlimited" are provided for reasonable, good-faith use in connection with legitimate transcription workflows. Unlimited does not mean unrestricted, automated, abusive, resold, or unrelated use.

We may monitor usage patterns and apply throttling, caps, downgrade restrictions, suspension, termination, or refusal of refunds if we determine that usage is excessive, abusive, fraudulent, or unsafe.
"Your Content" includes files, recordings, transcripts, prompts, templates, AI chat messages, summaries, exports, metadata, and any other material you submit to or create through the Service. You retain ownership of Your Content. You grant us a limited, non-exclusive, worldwide license to host, process, transmit, display, reproduce, modify, and create outputs from Your Content solely as needed to provide, secure, support, enforce, and improve the Service.
You are solely responsible for Your Content, including obtaining all necessary rights, permissions, notices, and consents from speakers, participants, copyright owners, data subjects, and other parties. You must comply with recording, wiretapping, privacy, employment, intellectual property, and data protection laws that apply to your content.
AI output may be inaccurate, incomplete, misleading, biased, or unsuitable for your purpose. You are responsible for reviewing, verifying, and deciding whether to use any transcript, summary, translation, chat response, or other output. The Service does not provide legal, medical, financial, professional, or emergency advice.
You may not upload, submit, transcribe, summarize, store, share, or process NSFW (Not Safe For Work) content, including content not appropriate for workplace or public settings, or other prohibited sexual, exploitative, non-consensual, illegal, or abusive content through the Service.

You also may not use AI summary, AI chat, custom prompts, templates, translation, transcript editing, or any other feature to generate, rewrite, enhance, classify for arousal, distribute, or facilitate the prohibited content described above.
We may conduct automated, manual, random, or targeted content checks and account audits to verify compliance. We are not obligated to review all content, but we reserve the right to inspect content, metadata, prompts, outputs, shares, and usage patterns.
If we identify or reasonably suspect a violation, we may remove content, block processing, preserve evidence, suspend or terminate accounts, prevent re-registration, refuse refunds, notify affected parties, and report the matter to law enforcement, regulators, safety organizations, or service providers when required or appropriate.
You must not use the Service to:
The Service, including software, design, workflows, interfaces, documentation, trademarks, logos, and proprietary technology, is owned by FastScribeX or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sublicense, sell, lease, or create derivative works from the Service except as expressly allowed by us in writing.
Feedback, suggestions, or ideas you provide may be used by us without restriction or compensation.

All other trademarks, service marks, product names, and company names are the property of their respective owners. References to third-party models or services do not imply endorsement, sponsorship, or affiliation unless expressly stated.
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to the collection, use, processing, disclosure, retention, deletion, and security practices described there.
Original audio and video files are automatically deleted 24 hours after upload unless limited retention is necessary for security, billing, legal, dispute, or abuse-prevention reasons. You are responsible for maintaining backups of content you need to keep.
The Service may rely on third-party providers for transcription, language models, AI processing, cloud storage, authentication, analytics, email, support, and payment processing. We do not control those providers. Their services may be subject to their own terms, privacy policies, safety policies, availability, rate limits, data processing practices, and output behavior.
We are not responsible for third-party service failures, downtime, security incidents, model behavior, output, pricing changes, or policy changes, except to the extent required by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RELIABILITY.
We do not warrant that the Service or any transcript, summary, translation, AI chat response, output, result, or recommendation will be accurate, complete, uninterrupted, secure, timely, error-free, or suitable for your purpose.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FASTSCRIBEX AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED U.S. DOLLARS ($100).
You agree to defend, indemnify, and hold harmless FastScribeX and its directors, officers, employees, contractors, affiliates, agents, suppliers, and licensors from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
We may suspend, restrict, or terminate your access to the Service immediately and without prior notice if you violate these Terms, create risk for us or others, fail to pay fees, abuse the Service, submit prohibited content, or if continued access would be unlawful or commercially impractical.
Upon termination, your right to use the Service ends immediately. We may delete Your Content according to our Privacy Policy and retention practices. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute terms, and compliance obligations.
If a dispute arises from these Terms or the Service, you agree to contact us first at [email protected] so we can try to resolve the issue informally. If we cannot resolve it within 30 days, either party may pursue available remedies in a court or other forum with proper jurisdiction, subject to applicable law.
We may update these Terms from time to time. Changes are effective when posted unless a later date is stated. Your continued use of the Service after changes become effective means you accept the updated Terms.
If any provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in effect. These Terms, together with our Privacy Policy, Refund Policy, and any plan-specific terms, are the entire agreement between you and FastScribeX regarding the Service.
